Terms & Conditions

These terms govern the services provided by ProSync AI (“we”, “us”, “our”) to you (“the client”). By requesting a quote, accepting a proposal, or engaging us, you agree to these terms. Specific deliverables, timelines and fees are set out in the quote or statement of work for each engagement, which forms part of this agreement.

We provide research, strategy and finance, content and marketing, education and career, and AI solutions services. The exact scope of any engagement is defined in the agreed quote. Work outside that scope may require a new or revised quote.

Quotes are fixed-scope and valid for 14 days from issue. Prices are exclusive of any taxes that may apply. If your requirements change after acceptance, we will provide a revised quote before continuing.

• New clients: 50% payable upfront, with the balance due on delivery.
• Repeat clients: net 15 days from invoice.
• Work may be paused where undisputed invoices remain unpaid.

Each engagement includes two rounds of revisions within the agreed scope. Additional revisions, or changes that alter the original scope, may be quoted separately.

You agree to provide accurate information and timely feedback, to hold necessary rights to any materials you supply to us, and to use all deliverables for lawful purposes only. Delays in providing inputs or approvals may affect agreed timelines.

Unless stated otherwise in a quote, ownership of the final deliverables transfers to you upon full payment. Until then, all work product remains our property. We retain the right to reuse general skills, know-how and non-confidential techniques developed in the course of the work.

We treat client materials and project details as confidential and do not disclose them to third parties except as needed to deliver the services or as required by law. Client data is never used to train AI models. See our Privacy Policy for how we handle personal data.

ProSync AI maintains professional indemnity insurance appropriate to our service categories. Coverage details are available to verified clients under NDA.

We deliver our services with reasonable skill and care. To the fullest extent permitted by law, our total liability arising out of any engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential losses. Nothing in these terms limits liability that cannot be limited by law.

Either party may end an engagement in writing. On termination, you agree to pay for work completed and any non-cancellable commitments up to that date.

These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of its courts.
